Terms of Use
These Terms of Use govern your use of the SpeakSync software products and services (collectively, the Service) provided by Malcolm C Taylor, an individual doing business as SpeakSync ("SpeakSync," "we," "us," or "our"). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.
What These Terms Cover
These Terms govern the following components (collectively, the Service):
- The SpeakSync Office Add-ins — the SpeakSync Teleprompter add-in for Microsoft Word and the SpeakSync Presenter add-in for Microsoft PowerPoint, distributed through Microsoft AppSource and hosted at
https://speaksync.app/addin/andhttps://speaksync.app/pptaddin/. - The SpeakSync Helper — the free companion desktop application for macOS and Windows that performs on-device speech recognition and, on macOS, controls PowerPoint's slideshow on behalf of the add-in.
The SpeakSync iOS and Android apps are not covered by these Terms. Those apps are distributed through the Apple App Store and Google Play and are governed by the Apple Media Services Terms and Conditions or the Google Play Terms of Service, along with any end-user licence agreement presented at install.
Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian. By using the Service you represent that you have the legal capacity to enter into these Terms.
License to Use the Service
Subject to your compliance with these Terms, SpeakSync grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Office Add-ins and the SpeakSync Helper for your personal or internal business use. All rights not expressly granted are reserved.
You agree that you will not, and will not permit any third party to:
- copy, modify, distribute, sell, sublicense, rent, lease, or assign the Service;
- reverse engineer, decompile, or disassemble the Service except to the extent expressly permitted by applicable law;
- remove, obscure, or alter any proprietary notices on the Service;
- use the Service in violation of any applicable law or regulation;
- use the Service to transmit, store, or process any content that is unlawful, infringing, harassing, defamatory, or harmful;
- use the Service to develop a competing product, or to benchmark the Service for that purpose.
Your Content
You retain all rights in the documents, presentations, scripts, speaker notes, and other materials you use with the Service (Your Content). SpeakSync does not claim ownership of Your Content.
The Service is designed so that Your Content stays on your device. Speech recognition is performed locally by the SpeakSync Helper using your operating system's on-device recognition framework, and audio is not transmitted to SpeakSync's servers. For more detail on what data the Service processes and how, see the Privacy Policy.
The SpeakSync Helper Companion App
The SpeakSync Office Add-ins rely on the SpeakSync Helper, a separate application that you install on your own computer. By installing the Helper, you agree that:
- You will grant the Helper the operating-system permissions it requests (microphone, Dictation, Accessibility, and Automation, as applicable) only if and to the extent you consent to do so.
- You can uninstall the Helper at any time. The add-ins will detect its absence and degrade gracefully.
- The Helper communicates with the add-ins over a local secure WebSocket connection that does not leave your device.
- You are responsible for the configuration, security, and operation of the computer on which you install the Helper.
Third-Party Software and Services
The Service relies on third-party software and services that are governed by their own terms, including but not limited to:
- Microsoft Word, Microsoft PowerPoint, and Microsoft AppSource (Microsoft Corporation);
- Apple's speech recognition framework and macOS operating system features (Apple Inc.);
- Microsoft Windows speech recognition features (Microsoft Corporation);
- The Microsoft Azure Cognitive Services Speech SDK, when configured by the user as the speech-recognition backend (Microsoft Corporation).
Your use of these third-party components is subject to the relevant third-party terms. SpeakSync is not responsible for the availability, accuracy, content, or practices of third-party services.
Fees
The SpeakSync Office Add-ins and the SpeakSync Helper are provided free of charge. (The SpeakSync iOS and Android apps are separate paid products and are not covered by these Terms.) SpeakSync may, with reasonable advance notice, change the pricing or commercial terms of any component of the Service.
Intellectual Property
The Service, including all software, designs, text, graphics, logos, and the "SpeakSync" name and marks, is owned by Malcolm C Taylor and his licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted above, no rights in the Service are granted to you.
Updates and Changes
SpeakSync may release updates, patches, or new versions of the Service from time to time. Some updates may be delivered automatically. SpeakSync may also modify, suspend, or discontinue any part of the Service at any time, with or without notice, and will not be liable to you or any third party for any such modification, suspension, or discontinuation.
Termination
You may stop using the Service at any time and uninstall the add-ins and the Helper. SpeakSync may terminate or suspend your access to all or part of the Service immediately, without notice, if you breach these Terms or if SpeakSync reasonably believes that termination is necessary to protect the Service, other users, or third parties. Sections that by their nature should survive termination — including Your Content, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will survive.
Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. SpeakSync does not warrant that the Service will be uninterrupted, error-free, accurate, or free of harmful components, or that voice tracking will correctly match all speech in all conditions.
Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event will SpeakSync or its affiliates, officers, employees, or agents be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if SpeakSync has been advised of the possibility of such damages.
SpeakSync's total cumulative liability under these Terms will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow the limitation of liability for certain damages, so the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless SpeakSync and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service in violation of these Terms or applicable law, or arising out of Your Content.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Connecticut, USA, without regard to its conflict-of-laws provisions. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Connecticut, and you consent to the personal jurisdiction of those courts. To the extent allowed by law, you and SpeakSync waive any right to a jury trial.
Changes to These Terms
SpeakSync may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If the changes are material, we will use reasonable efforts to notify you. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
Miscellaneous
- Entire agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and SpeakSync regarding the Service.
- Severability — if any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Waiver — SpeakSync's failure to enforce any provision is not a waiver of its right to do so later.
- Assignment — you may not assign these Terms without SpeakSync's prior written consent. SpeakSync may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- No agency — nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
